Remuneration

Berner Industrier’s Annual General Meeting (AGM) has adopted guidelines for remuneration to senior executives. The main principle is that remuneration shall be on market terms and enable the company to attract, develop and retain key employees. The remuneration may consist of basic salary, variable remuneration and, in certain cases, other benefits. Remuneration to the CEO and other senior executives shall consist of basic salary, variable remuneration, other benefits and pension.

Guidelines for remuneration to senior executives are described in the Annual Report for 2023. The remuneration report for 2023 was presented to the 2024 Annual General Meeting and is available under the AGM documents here.

Warrant program

The 2022 Annual General Meeting resolved to implement a warrant program of a maximum of 400,000 warrants to senior executives in Berner Industrier. The warrants have been offered at market price in accordance with the Black & Scholes model. The warrants entitle the holder to subscribe for shares during the period 1 September 2025 – 30 September 2025 at a price of SEK 34.03. As of December 31, 2023, there were 310,000 warrants outstanding.
